In short

  • Every project starts with a free consultation and a written proposal. The proposal sets out what we will build and what it costs.
  • You can spread the cost over 3, 6, 9 or 12 months, with no interest and no fees.
  • We own the website until it is paid in full. Then it is handed over to you.
  • Either of us can end the contract with two months notice. Any remaining payments still fall due.
  • Nothing in these terms affects your legal rights as a consumer.

1. About these terms and about us

These terms apply when you use our services. Please read them carefully before you accept a proposal. If anything is unclear, contact us and we will explain it.

UT Innovation is a trading name of Unique Tenders Limited, a company registered in England and Wales. Our company number is 14962399. Our registered office is 27 Old Gloucester Street, London, WC1N 3AX. We are registered with the Information Commissioner's Office under reference ZB745104.

You can contact us by email at hello@utinnovation.co.uk or by calling 0800 002 5775, Monday to Friday, 9am to 5pm.

In these terms, "we", "us" and "our" mean Unique Tenders Limited trading as UT Innovation. "You" and "your" mean the person or organisation who accepts our proposal.

2. Words we use

  • Proposal means the written plan and quote we send you after your consultation.
  • Services means everything set out in your proposal. This can include company registration, a domain name, your website or platform, training, flyers and business cards, hosting and maintenance, monthly reports and support.
  • Website means the website or platform we build for you, including its design, code, layout and any content we create.
  • Payment plan means the agreed schedule of monthly payments for your project.
  • Working day means Monday to Friday, not including bank holidays in England.
  • Consumer means an individual acting for purposes that are wholly or mainly outside their trade, business, craft or profession.

3. Who these terms apply to

We work with individuals, sole traders, partnerships and companies. Some parts of these terms apply differently depending on who you are. Where a section applies only to consumers, or only to business customers, we say so.

If you are a consumer, you have legal rights under the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Nothing in these terms takes those rights away.

4. Your free consultation and our proposal

Your first consultation is a free 45 minute phone call. There is no obligation to go ahead.

After your call, we send you a written proposal. It sets out what we will deliver, the total price, the payment plan and any timescales. A proposal is valid for the period stated on it. If no period is stated, it is valid for 30 days.

5. How the contract is formed

The contract between us starts when you accept the proposal in writing, sign it, or make your first payment, whichever happens first. The contract is made up of your proposal and these terms. If the proposal and these terms ever conflict, the proposal takes priority.

You must be at least 18 years old to enter into a contract with us.

6. Our services

We will provide the services set out in your proposal with reasonable care and skill. Depending on your proposal, this may include:

  • Company registration. We help you register your company with Companies House. Companies House usually takes at least 24 hours to process a registration. The timing of their decision is outside our control.
  • Your domain. We buy your domain name and register it in your company name, or your own name if you do not have a company. See section 11.
  • Your website or platform. We design and build it around the plan agreed in your proposal.
  • Training and full access. A training portal for your site, and full access to manage it.
  • Flyers and business cards. 100 single-sided colour A5 flyers on 120gsm gloss paper, and 100 single-sided colour business cards with a matt finish, as part of your welcome package.
  • Hosting and maintenance. 12 months of hosting and maintenance. See section 12.
  • Monthly updates and analytics. A monthly report on your website, once it is live.
  • An advisor and booked sessions. See section 13.

Any timescales we give are estimates. We will keep you updated if anything changes. Delays caused by waiting for information or feedback from you may move the timescale.

7. Your responsibilities

To help us deliver your project, you agree to:

  • give us accurate and complete information, and tell us promptly if anything changes;
  • reply to our questions and review our work within a reasonable time;
  • make sure you have the right to use any words, images, logos or other material you give us, and that it does not break any law or anyone else's rights;
  • keep your logins private and tell us straight away if you think someone else has used them;
  • use your website lawfully and in line with our Fair Use Policy; and
  • comply with the laws that apply to your business, including data protection law for any personal data your website collects.

8. Prices and payment

The price of your project is set out in your proposal. We agree the full price with you before any work starts.

You can pay in full, or spread the cost over 3, 6, 9 or 12 monthly payments. Our payment plans carry no interest and no fees. The total you pay on a payment plan is the same as the price in your proposal.

Payments are taken through Stripe, our payment provider. We do not see or store your full card details.

Some costs are paid to other organisations on your behalf, such as the Companies House filing fee. Your proposal will show these where they apply.

9. Missed payments

If a payment is missed, we will follow these steps:

  1. We will contact you with a reminder and ask you to make the payment.
  2. If the payment is still outstanding 7 days later, we will send you a final notice.
  3. If the payment is still outstanding 14 days after it was due, we may pause your website and our services until your account is up to date. We will tell you before we do this.
  4. If the debt remains unpaid, we may end the contract under section 16 and take steps to recover what is owed. This may include using a debt recovery agency or making a claim through the courts. If you are a company, this may include insolvency proceedings where the law allows them.

We do not charge late payment fees or interest to individuals or sole traders. If you are a company or a limited liability partnership, we may claim interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.

If you are struggling to pay, please talk to us as early as possible. We will always try to agree a sensible way forward.

10. Ownership of your website

We own the website, including its design, code and any content we create, until you have paid for it in full. While your payments are up to date, you have a licence to use the website for your business.

Once you have paid in full, we will hand the website over to you. This means we transfer to you the rights we hold in the design, code and content we created specifically for you.

Some parts of a website belong to other people, such as WordPress, plugins, fonts and stock images. These are provided under their own licences. You can keep using them in line with those licences.

You keep ownership of any material you give us. You give us permission to use it to deliver your services.

We may show your website in our portfolio and marketing. If you would rather we did not, just tell us.

11. Your domain name

We register your domain in your company name, or your own name if you do not have a company. This means you own it. You are responsible for renewing it when it is due. We add the renewal date to your account so you can see it.

If you want to move your domain to another provider after 12 months, you can transfer it using an IPS tag (for .uk domains) or a transfer code (for other domains). We will help you with this on request.

12. Hosting and maintenance

Your first 12 months of hosting and maintenance are included. This includes an SSL certificate to keep your site secure. Every 28 days we update your site and check the updates work properly with it.

After 12 months, you can choose to continue hosting and maintenance at the discounted price shown in your portal. If you choose not to continue, we will agree with you how and when your website moves to a new host.

We work hard to keep websites online, but we cannot promise that your website will always be available or free from errors. Planned maintenance, problems with third-party services and events outside our control can cause interruptions. We will fix problems we are responsible for as quickly as we reasonably can.

Hosting is subject to our Fair Use Policy.

13. Support, advisors and booked sessions

Every client has a dedicated advisor. You can contact us through the support button in your dashboard. We reply within 24 to 48 hours, counted on working days only. Requests sent after 4pm are treated as arriving at 9am the next working day.

You can book one session a year of up to one hour with a senior advisor on Microsoft Teams.

Before your website goes live, we will talk through any changes you want. After launch, small changes are included where they are reasonable. Larger requests that go beyond your original proposal may cost extra. We will always explain the cost and get your agreement before we start.

14. Your right to cancel within 14 days (consumers)

If you are a consumer, you have the right to cancel the contract within 14 days without giving a reason. The 14 days start on the day after the contract is formed.

If you ask us to start work during those 14 days and then cancel, you will need to pay for the work we have already done, and any costs we have already paid on your behalf. Our Refund Policy explains this in full, including how to cancel.

15. Ending the contract with notice

After the first 14 days, either of us can end the contract by giving two months notice in writing. Email is fine.

If you are on a payment plan, the remaining payments for your project still fall due. Ending the contract does not cancel what you have agreed to pay.

Once your project has been paid for in full, the website is handed over to you under section 10. If it has not been paid for in full, we keep ownership of it and may take it offline when the contract ends.

16. When we can end the contract

We may end the contract straight away by writing to you if:

  • you have not paid an amount that is due, after we have followed the steps in section 9;
  • you seriously break these terms, or keep breaking them after we have asked you to stop;
  • you use the website for anything illegal or harmful, or in a way our Fair Use Policy does not allow; or
  • you or anyone acting for you is abusive or threatening towards our team.

When the contract ends for any reason, we will tell you what happens to your website and data. Our Privacy Policy explains how long we keep records.

17. Our responsibility to you

Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else the law does not allow us to limit.

If you are a consumer: we are responsible for loss or damage you suffer that is a foreseeable result of us breaking these terms or failing to use reasonable care and skill. We are not responsible for loss that was not foreseeable. We provide our services for domestic and private use. If you use them for business purposes, we are not responsible for loss of profit, business or opportunity.

If you are a business customer: we are not responsible for loss of profit, revenue, business, goodwill, data or anticipated savings, or for any indirect or consequential loss. Our total liability to you under or in connection with the contract is limited to the total amount you have paid us in the 12 months before the event that led to the claim.

18. Your legal rights

If you are a consumer, the law says we must provide our services with reasonable care and skill, and as described. If we do not, you may be entitled to ask us to repeat or fix the work, or to a price reduction. For more information, visit the Citizens Advice website or call 0808 223 1133.

19. Events outside our control

We are not responsible for delays or failures caused by events outside our reasonable control. These include problems with third-party services, internet or power failures, cyber attacks, extreme weather, or industrial action. If this happens, we will let you know and do what we reasonably can to reduce the impact.

20. Personal data

Our Privacy Policy explains how we use your personal data.

When your website collects personal data from your own customers or users, you are the controller of that data and we act as your processor. When we process that data for you, we will:

  • only use it to provide our services and on your documented instructions;
  • keep it confidential and make sure our team are bound by confidentiality;
  • keep it secure using appropriate technical and organisational measures;
  • only use other providers to process it where they give the same level of protection;
  • help you respond to requests from people exercising their data protection rights;
  • tell you without undue delay if we become aware of a personal data breach affecting it; and
  • return or delete it when our services end, unless the law requires us to keep it.

21. Complaints

If you are unhappy with our service, please tell us. Email hello@utinnovation.co.uk or call 0800 002 5775. We will reply within 24 to 48 hours on working days, and we will do our best to put things right.

22. Changes to these terms

We may update these terms from time to time. If we make a change that affects an existing contract, we will tell you at least 30 days before it takes effect. If you are a consumer and you do not agree to the change, you can end the contract before the change takes effect.

23. Other important terms

  • We may transfer our rights and obligations under the contract to another organisation. We will tell you if this happens and make sure your rights are not affected. You may only transfer your rights with our written agreement.
  • If a court decides that part of these terms is not valid, the rest will still apply.
  • If we do not enforce our rights straight away, we can still enforce them later.
  • Nobody else has any rights under this contract, other than you and us.

24. Which laws apply

These terms are governed by the law of England and Wales. You can bring legal proceedings in the courts of England and Wales. If you are a consumer living in Scotland or Northern Ireland, you can also bring proceedings in your local courts.
